{"id":16037,"date":"2024-07-30T16:46:14","date_gmt":"2024-07-30T14:46:14","guid":{"rendered":"https:\/\/labre.nl\/?p=16037"},"modified":"2024-08-02T08:34:10","modified_gmt":"2024-08-02T06:34:10","slug":"india-how-to-increase-or-enhance-authorized-capital-in-an-indian-company","status":"publish","type":"post","link":"https:\/\/labre.nl\/en\/2024\/07\/30\/india-how-to-increase-or-enhance-authorized-capital-in-an-indian-company\/","title":{"rendered":"India: How to increase or enhance Authorized Capital in an Indian Company"},"content":{"rendered":"\n<p>\u00a0<\/p>\n<p><span style=\"color: #f18101\">Authorized Capital is known to be the upper limit of the capital that a company is allowed to raise via its share\u2019s sale.<\/span><\/p>\n<p>Authorized share capital may be divided into:<\/p>\n<ul>\n<li>Issued Capital is that category of capital that a company grants time to time<\/li>\n<li>Paid-up Capital is the amount company received from the shareholders in exchange for the shares issued.<\/li>\n<li>Subscribe Capital is that category of capital which is in a way backed\/sponsored by the members of the company.<\/li>\n<\/ul>\n<p>The company\u2019s memorandum usually consists of the \u2018capital clause\u2019 that denoted the company\u2019s share capital authorised along with its various classification. Out of this share of capital, the company is not liable to grants any shares to their respective subscribers until it has been done on the recommendation of the Board of Directors. It then requisites the approval of shareholders. The Provisions of the Companies Act, 2013 and the guidelines mentioned in it clearly talks about the entire mechanism to enhance the authorized capital.<\/p>\n<p><strong><span style=\"text-decoration: underline\"><span style=\"color: #f18101;text-decoration: underline\">Procedure:<\/span><\/span><\/strong><\/p>\n<ul>\n<li><strong>Authorisation in Articles:<\/strong> The articles should have the validating provisions for changing the authorised capital share.
